
Board Structure
The Bronx RHIO has a transparent, participatory governance structure based on broad, inclusive participation of multiple stakeholders on its Board of Directors. A key strength of the Bronx RHIO is its actively engaged Board of Directors, representing the highest levels of leadership from our member organizations.
The provider community is strongly represented in the Bronx RHIO’s governance. Through membership on the Board and participation in the Clinical Committee and other Committees, clinicians have the opportunity to participate in decision-making and guide safety and quality improvements. Consumers also have voice in governance through an At-Large Director position on the Board.

Clinical Committee*

The Bronx RHIO Clinical Committee oversees how the Bronx RHIO manages clinical data. The Clinical Committee advises the Bronx RHIO on topics such as clinical measures reporting, clinical claims data, population health metrics, and the management of research projects.

During intervals between meetings of the Board, the BronxRHIO Executive Committee exercises all of the functions and powers of the Board, except as the Board may specifically reserve to the Board by resolution from time to time and except also that the Executive Committee shall not have authority as to certain matters as described in the ByLaws.

The Bronx RHIO Finance & Audit Committee reviews the Bronx RHIO’s financial statements, including revenue, net income, expenses, and participant fees. The Committee approves annual financial statements for the organization.
Health Information Management (HIM) Committee*

The Bronx RHIO Health Information Management Committee reviews how the Bronx RHIO tracks and organizes patient health data it receives from and displays for member organizations. HIM Committee members draw on expertise form their respective clinical settings to advise the Bronx RHIO on how best manage its metrics and member data.

Patients Rights & Member Responsibilities Committee*

The Patient Rights and Member Responsibilities Committee is responsible for monitoring compliance with the Bronx RHIO’s Policies and Procedures. It conducts an ongoing review of audits of the use and disclosure of Protected Health Information through the RHIO System by each Participant and its Authorized Users. The Committee is responsible for recommending to the Board of Directors the audits to be performed, the specific controls to be audited, and the frequency and sample size for each audit. The Patient Rights and Member Responsibilities Committee is also responsible for reviewing the results of the audits and any corrective action to be taken as a result of problems uncovered during the audits. The Committee meets at least quarterly to determine whether any additional audits need to be performed and to review the results of completed audits.
Research & Quality Improvement Subcommittee*

The Bronx RHIO actively participates in Quality Improvement and research projects with participant organizations and related partners and can provide deidentified analyses on enrolled patients, regardless of consent status. The Bronx RHIO Research & Quality Improvement Subcommittee is organized to review and approve all such research proposals. All applications for the Disclosure of Protected Health Information for Research are subject to the review and approval of this Subcommittee per Bronx RHIO Policies & Procedures.

The Bronx RHIO Technical & Steering Committee is responsible for monitoring the organization’s operations and information security. The Technical & Steering Committee meets regularly to review system usage, data feeds, information security certification, and key technical projects, among other topics.
